Business Formations

When engaging any form of business enterprise, it usually is best to have that enterprise organized as a legal entity separate from its owners so as to afford limited liability. Historically, the choice was for the owners to incorporate the business (i.e., form a corporation). But today we have more choices - namely:

  • C-corporations
  • S-corporations
  • Limited Partnerships
  • Limited Liability Companies (LLC's).

Choosing the proper entity when establishing a business is a critical decision. Depending on the nature of the business and the number of people who wish to be involved, each specific entity offers advantages and disadvantages. Some may value alienability of assets more highly than others whereas someone else's main concern is to avoid paying as much tax as possible. Based on the current tax and business laws, you should seek the advice of a tax attorney to help you decide which entity will help you achieve your individual goals.
